The agreements between MX Wholesale and a business holding a dealer account.

These terms apply to every offer, order and delivery between us and a business customer. We supply businesses only; sales to consumers fall outside them. We reject a customer’s own purchasing terms unless we agree otherwise in writing.
The dealer account
A dealer account comes into being only after we have approved an application. We review every application by hand and may decline it without stating a reason. Access is meant for the company that applied and may not be passed on.
Prices and subscription
Dealer prices become visible after approval and are exclusive of VAT. The subscription costs fifty euro a month and is waived for any month in which more than five hundred euro is ordered. It can be cancelled monthly. Prices may change; an order is governed by the price at the moment of ordering.
Orders and delivery
An order is accepted once we confirm it. Stated delivery times are an estimate based on the cut-off time and the country of delivery, not a firm commitment. Risk passes to the customer as soon as the shipment leaves the warehouse.
Payment
Payment is up front, through a balance or per order. Payment on account is possible only by separate arrangement. If payment is late we may suspend delivery and access to the account.
Returns and warranty
A return is registered in advance. After receipt and inspection we settle the amount: on your balance if you work with one, otherwise as a credit note on the next invoice. Items carry the manufacturer’s warranty; we act as intermediary but give no wider warranty than that.
Retention of title
Goods supplied remain ours until everything the customer owes has been paid.
Liability
Our liability is limited to the amount of the order concerned. We are not liable for consequential loss, lost turnover, or damage caused by incorrect fitting or use of an item. This limit does not apply in the event of intent or deliberate recklessness on our part.
Governing law
These terms are governed by Dutch law. Disputes are put before the competent court in the Netherlands.
